  27. Gilligans Island. And the choices they have made with the Amiga have been less
  28. than favorable, such as putting the same old stock A4000 card in the A4kTower,
  29. such as shipping the A1200 with no form of power upgrade for the last 5
  30. months, oh that's right, we couldn't Engeneer it in time.. uh huh..

  32.         Perhaps our new owners will listen to reason about how the Amiga
  33. should be sold and worked on. Maybe Dave Haynie and the old US gang can get to
  34. work on a few things here.. Viscorp and Scala should join forces and attack
  35. the world wide market together with some awesome low end PPC machines.

  42. VISCORP MOVES TO ACQUIRE LEADING TECHNOLOGY COMPANY

  44.    Letter of Understanding Signed by Escom AG, Amiga Technologies and
  45.            VIScorp                            
  46.  
  47.    Chicago, IL, April 11,1996 -- Visual Information Services Corp.
  48.    (Nasdaq: VICP, Bulletin Board), a developer of Interactive TV (ITV)
  49.    set-top boxes to enhance television use and viewing by providing
  50.    Internet access and electronic communications functions, announced 
  51.    that it has a binding letter of understanding to acquire the assets of
  52.    Amiga Technologies from Escom AG.
  53.                                                                                                            
  54.    "We believe the Amiga television interface technology is clearly
  55.              superior to anything that now exists for ITV boxes," said William
  56.             Buck, VIScorp's chief executive officer. "Earlier this year, we
  57.               licensed this technology for our second-generation prototype
  58. box. The          proposed acquisition of Amiga would enable us to fully apply
  59. the               proprietary technologies, patents and copyrights that are
  60. vital to the
  61.    appearance, user appeal and functionality of our product."
  62.                  
  63.    The proposed acquisition would include the intellectual property of
  64.    the former Commodore Business Machines, except Commodore trademarks.
  65.          Terms were not disclosed. The pending acquisition would be subject to
  66.         the approval of both boards of directors.

  68.    Mr. Buck stated: "Aiding our time to market, the proposed acquisition
  69.    of Amiga would provide us with the installed base of our primary   
  70.    target market for Internet-supported software program distribution,
  71.    which may ultimately lead to a new type of television network. This
  72.    intended acquisition is part of VIScorp's strategy to build market    
  73.    leadership in the fast-growing field of ITV."

  75.    Mr. Buck explained that the proposed acquisition would give VIScorp
  76.           ownership of Amiga intellectual properties, including several that
  77. are         currently used in its set-top Electronic Device (ED), as well as
  78.              control over the supply of chip sets used in ED, Amiga
  79. inventories,            and access to the company's sales and distribution
  80. channels.

  82.    If the acquisition is completed, noted Mr. Buck, VIScorp anticipates
  83.          continued sales and support of popular Amiga computer models.
  84.                 Commenting that the primary objective of the proposed
  85. acquisition is
  86.    to give VIScorp full access to the Amiga/Commodore technology to
  87.              support development of its ITV device, Mr. Buck said: "Our
  88. TVset-top           interactive boxes would give home users capabilities such
  89. as telephone
  90.    reception and dial-up, facsimile, pay-per-view options, electronic
  91.    mail, access to online services, including the Internet, and more."
